Welcome to SimpliStockAlerts. By using our services, you agree to the following terms and conditions:

1. Account Registration
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your account and password. Users must be at least 18 years old or have legal capacity to enter into this agreement.
Accounts are for individual use only and may not be shared with others. You must keep your contact information current and accurate, including your email address and phone number. You are responsible for all activity that occurs under your account.

1a. Account Security
You must notify SimpliStockAlerts immediately at support@simplistockalerts.com if you suspect unauthorized access to your account. SimpliStockAlerts is not liable for any losses, damages, or unauthorized activity resulting from compromised credentials, weak passwords, or failure to secure your account. If multi-factor authentication is available, you are strongly encouraged to enable it and are responsible for maintaining access to your authentication methods.

2. License & Intellectual Property
SimpliStockAlerts grants you a limited, non-exclusive, non-transferable license to access and use the service for personal, informational purposes only. All intellectual property rights in the software, algorithms, data, and content remain the property of SimpliStockAlerts or its licensors. You may not redistribute, resell, copy, reverse engineer, or create derivative works from the service without express written permission.

You may not copy, modify, reverse-engineer, decompile, disassemble, or create derivative works from SimpliStockAlerts software or services. You may not redistribute, resell, sublicense, or share access to the service or data without express written permission from SimpliStockAlerts. SimpliStockAlerts does not provide an external API for automated access to our services.

​3. User Responsibilities
By using SimpliStockAlerts, you agree to the following responsibilities:

3a. Account Security and Accuracy
You are solely responsible for all activity that occurs under your account, including any activity by individuals to whom you provide your login credentials. You must maintain accurate and current account information, including your email address, phone number, and payment information. You must immediately notify SimpliStockAlerts at support@simplistockalerts.com if you suspect unauthorized access to or use of your account. Accounts are for individual use only and may not be shared unless expressly authorized by SimpliStockAlerts.

3b. Lawful Use
You agree to use SimpliStockAlerts only in compliance with all applicable federal, state, local, and international laws and regulations, including but not limited to securities laws, financial regulations, anti-money laundering laws, communications regulations, and data protection laws applicable to your jurisdiction.

You may not use SimpliStockAlerts to facilitate or engage in any unlawful trading activity, including market manipulation, insider trading, or any conduct that violates applicable securities laws or exchange rules.
​
3c. Prohibited Activities
You agree that you will not:
​
(a) Use SimpliStockAlerts for any unlawful, fraudulent, or abusive purpose;
(b) Attempt to gain unauthorized access to SimpliStockAlerts systems, servers, networks, or data;
(c) Use automated means such as bots, scrapers, or scripts to access SimpliStockAlerts without express written permission;
(d) Interfere with or disrupt the integrity, security, or performance of the SimpliStockAlerts services;
(e) Attempt to decipher, decompile, reverse engineer, or otherwise derive source code from any software or algorithms used to provide the services;
(f) Copy, redistribute, publish, broadcast, resell, sublicense, or otherwise commercially exploit SimpliStockAlerts alerts, signals, or data without prior written authorization;
(g) Remove, obscure, or alter any proprietary notices, including copyright or trademark notices;
(h) Transmit viruses, malware, or other malicious code through the service;
(i) Violate the rights of others, including privacy rights, intellectual property rights, or contractual rights;
(j) Circumvent or attempt to bypass any security measures, usage limits, or technical restrictions implemented by SimpliStockAlerts.
3d. Data Accuracy
You are responsible for ensuring that any data you provide to SimpliStockAlerts is accurate, current, and does not violate any third-party rights or applicable laws.

3e. Sanctions Compliance
You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in a country subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. government restricted party list, including the U.S. Treasury Department’s Specially Designated Nationals (SDN) List. If you become subject to such restrictions, you must immediately cease using the service.

3f. Legal Compliance and Disclosure
SimpliStockAlerts may disclose information relating to your use of the service if required to do so by law, regulation, legal process, or governmental request, as permitted by applicable law.

3g. Breach of Responsibilities
Violation of any responsibility in this section constitutes a material breach of these Terms of Service and may result in immediate suspension or termination of your account without refund, in addition to any other remedies available under applicable law.

4. Subscription Plans & Trial
SimpliStockAlerts offers Silver and Gold subscription plans at this time. Subscription fees are billed monthly or annually, depending on your selection at the time of purchase.
​
All subscription fees are non-refundable except where required by applicable law. You are responsible for all applicable taxes, governmental fees, and other charges associated with your subscription.
​
Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date. By purchasing a subscription, you authorize SimpliStockAlerts to automatically charge your selected payment method for all applicable subscription fees, Transaction Fees (defined below), taxes, and any other applicable charges on a recurring basis without further authorization from you, until canceled.

If payment cannot be successfully processed for any reason, including expiration, insufficient funds, or otherwise, we reserve the right to suspend or terminate your access to the service. We may, but are not obligated to, provide notice and an opportunity to update payment information before suspension or termination.

4a. Payment Processing Surcharge (Transaction Fee)
Subscriptions paid by credit card are subject to a Transaction Fee to recover payment processing costs. This fee is calculated using a gross-up formula designed to ensure SimpliStockAlerts receives the full stated subscription price after our third-party payment processor’s fees (currently Stripe, Inc.) are deducted.

The Transaction Fee is displayed as a separate line item (“Transaction Fee”) on the payment page before completing your purchase and on each invoice.
​
For domestic credit cards issued in the United States, the fee is approximately 2.9% plus $0.30 of the invoice total. No credit card Transaction Fee is charged to residents of Connecticut or Massachusetts, in compliance with applicable state law. For international credit cards issued outside the United States, the fee is approximately 4.4% plus $0.30 of the invoice total. Debit cards, prepaid cards, and other non-credit payment methods may not be subject to this fee.

Transaction Fee rates are subject to change if payment processor rates change. Any updated rates will be reflected at checkout prior to purchase.
​
By completing your purchase, you expressly acknowledge and consent to the Transaction Fee and authorize us to charge it to your selected payment method.
​
4b. Billing & Renewal
For recurring subscriptions, the Transaction Fee for each renewal cycle is calculated based on the total amount of your most recent paid invoice, including applicable taxes and any adjustments, and will be automatically added to your renewal invoice.

You authorize SimpliStockAlerts to charge your payment method on file for each renewal term, including applicable subscription fees, Transaction Fees, and taxes, unless you cancel prior to the renewal date.
​
We reserve the right to modify subscription pricing, billing structures, or Transaction Fees upon advance notice as required by law. Continued use of the service after such changes take effect constitutes acceptance of the updated pricing.
​
4c. Trial Periods
From time to time, we may offer subscription plans that include a trial period. Trial subscriptions automatically convert to paid subscriptions at the end of the trial period unless you cancel during the trial period.
​
By enrolling in a trial, you authorize us to charge your payment method on file for the applicable subscription fees, Transaction Fees, and taxes at the end of the trial period unless you cancel prior to trial expiration.
​
We reserve the right to modify or terminate trial offers at any time without notice.
​
4d. Cancellation & Refunds
Your subscription will automatically renew at the end of each billing period unless you cancel before the next billing date.
You are responsible for cancelling your subscription before the next billing date if you do not wish to continue the service. Cancellation stops future billing but does not retroactively cancel or refund charges that have already been processed.
Failure to use the service, failure to access alerts, or failure to cancel before the renewal date does not entitle you to a refund or reversal of any charges already incurred.

Refunds, if any, are issued solely at the discretion of SimpliStockAlerts unless otherwise required by applicable law.
​
You may cancel your subscription at any time through your account billing settings or by contacting support at support@simplistockalerts.com.
​
Cancellation will take effect at the end of the current billing period. No pro-rated refunds or credits will be issued for partial billing periods except where required by law. Failure to use the service does not create a refund right.
​
SimpliStockAlerts reserves the right to terminate or suspend accounts at its sole discretion in accordance with these Terms. Termination for violation of these Terms may result in forfeiture of any remaining subscription period without refund, to the extent permitted by law.
​
4e. Promotional Offers & Discounts
Promotional pricing, discounts, and special offers may be provided at our sole discretion and may be subject to additional terms and eligibility requirements.
​
Promotional offers are limited to one per user, household, or payment method unless otherwise expressly stated. They may not be combined with other promotions unless explicitly permitted. They may be modified, suspended, or revoked at any time. They may also be revoked retroactively if abuse, misuse, fraud, or circumvention is suspected.
​
SimpliStockAlerts reserves the right to determine eligibility for promotions in its sole discretion.
​
5. Payment Disputes
If you believe you have been charged incorrectly, you must notify SimpliStockAlerts in writing at support@simplistockalerts.com within sixty (60) days of the billing date for the charge in question. Your notice must include your account email, the date of the charge, the amount disputed, and a detailed explanation of why you believe the charge is incorrect.

Payment disputes may only be raised for legitimate billing errors, including duplicate charges, incorrect pricing, or charges applied after a properly cancelled subscription. Dissatisfaction with the service or failure to use the service does not constitute a billing error.
​
You may temporarily withhold payment only for the specific portion of the charge that is reasonably and legitimately disputed. Any withholding must be limited strictly to the disputed amount and may not be used to delay or avoid payment of ongoing subscription fees or other undisputed charges.
​
You must continue to pay all undisputed amounts to maintain active service. SimpliStockAlerts may suspend or terminate access to the service if undisputed amounts remain unpaid.
​
You may not offset or deduct any amounts allegedly owed to you against payments due to SimpliStockAlerts.
​
You agree to act reasonably and in good faith when disputing charges and will cooperate diligently with SimpliStockAlerts to resolve the dispute, including providing any requested documentation or information.
​
SimpliStockAlerts will investigate all reasonable payment disputes and respond within thirty (30) days of receiving your dispute notice. If SimpliStockAlerts determines that a dispute is frivolous, repetitive, or made in bad faith, or if you fail to cooperate with the resolution process, SimpliStockAlerts may suspend service and assess applicable fees in accordance with your Subscription Plan.

A dispute regarding a specific charge or billing practice may only be raised once. Repeated disputes concerning the same or substantially similar issue may be treated as bad faith disputes.
​
Initiating a chargeback or payment reversal with your bank or card issuer without first attempting to resolve the issue through SimpliStockAlerts may be considered a breach of these Terms and may result in immediate suspension or termination of your account.
​
Disputes not raised within the sixty (60) day period are deemed waived, and the charges are considered accepted and valid.

6. Alerts, Data, and Accuracy
SimpliStockAlerts may deliver alerts and stock information over web, email, SMS, WhatsApp, push notifications, and other platforms or channels that may be added in the future. While we strive for accuracy, all information is provided "as-is" without warranties of any kind.
Reporting information is based on live snapshots. Due to timing, network delays, or market conditions, numbers may differ from other services. Stock prices are displayed based on the time the snapshot is taken.

"All-time high" alerts are calculated using the historical price data available to SimpliStockAlerts at the time and may represent highs since tracking began rather than the full lifetime trading history of a security. Stock splits, dividends, and corporate actions may affect these calculations. All-time high alerts are based on closing prices unless otherwise specified and do not include after-hours or pre-market trading prices.

Price alerts are triggered based on market data at the time conditions are evaluated. Alert triggering logic, frequency of condition evaluation, and the specific price used (last trade, bid, ask, closing price, etc.) are subject to change and detailed in our FAQ section on the SimplíStockAlerts website.

Delivery of alerts via third-party communication platforms (email, SMS, WhatsApp, push notifications) is inherently unreliable. Delays, missed messages, or failed delivery may occur. Email delivery may be affected by spam filters, email provider policies, or invalid email addresses. Users should not rely solely on alerts for time-sensitive or detailed financial decisions.

The proper functioning of SimpliStockAlerts depends on your device, internet connection, operating system, and messaging platforms. SimpliStockAlerts is not responsible for failures, delays, or missed alerts due to device malfunction, connectivity issues, or third-party platform outages.
​
We use best efforts to generate and deliver alerts promptly; however, we are not responsible for delays caused by network issues, service outages, or third-party communication failures.
​
Email alerts that fail to reach their destination due to invalid addresses, full mailboxes, spam filters, or other delivery issues will not be automatically retried. Users are responsible for ensuring their email address is valid and capable of receiving messages from SimpliStockAlerts.
​
We use best efforts to maintain data accuracy but provide no guarantees. Changes to user settings, preferences, or configurations may take several hours to propagate and become active.
​
Failure to receive, read, or act upon an alert does not constitute grounds for a refund, credit, or billing dispute.
​
No Performance Guarantee
SimpliStockAlerts provides informational market alerts only and does not guarantee the accuracy, profitability, or performance of any trading strategy or alert. Trading securities involves risk, and you are solely responsible for your investment decisions. Financial losses or dissatisfaction with trading outcomes do not constitute valid grounds for a refund or payment dispute.

6a. Alert Delivery Limits
SimpliStockAlerts reserves the right to limit the number, frequency, and delivery of alerts to prevent abuse and ensure system stability. Specific limits on alert delivery, including maximum alerts per day or per hour, are subject to change and are detailed in the FAQ section of the SimpliStockAlerts website. During periods of high market volatility or system load, alert delivery may be throttled or delayed.
In addition to plan specific budgets, SimpliStockAlerts reserves the right to update and adjust alert behavior.​​

7. Use of Aggregated Data
We may analyze user behavior, alert selections, settings, subscription choices, and transaction-like patterns (including which stocks you follow and how you interact with the platform). This information may be aggregated and anonymized to generate trends, which may be sold, licensed, or shared with third parties. No personally identifiable information is included.

7a. Data Source & Licensing
Some stock prices and market data we provide come from third-party data providers (such as exchanges or licensed APIs). You agree not to redistribute, resell, or reuse raw data from these providers, except as expressly permitted by SimpliStockAlerts or the provider's terms. Any derivative or commercial use of this data is prohibited without written permission.

7b. Service Monitoring & Logging
SimpliStockAlerts may monitor service usage for security, fraud prevention, troubleshooting, and service improvement purposes. We may log user activity, including login times, feature usage, alert configurations, and system interactions. These logs may be used to detect abuse, investigate technical issues, and improve the overall quality of the service.

8. Communications
By using SimpliStockAlerts, you consent to receive communications regarding your account, subscription, or service updates via email, SMS, WhatsApp, or other messaging platforms.

8a. Messaging Consent & Compliance
By providing your phone number, WhatsApp account, or email, you consent to receive messages and alerts through these channels. You may opt out at any time using the unsubscribe links or instructions provided in messages. SimpliStockAlerts will comply with applicable messaging regulations (e.g., TCPA) and industry best practices. Message delivery may be delayed or blocked due to carrier, network, or platform restrictions.

8b. SMS / Text Message Communications
By creating an account and enabling SMS alerts, you expressly consent to receive recurring automated text messages from SimpliStockAlerts at the mobile number you provide. Users provide explicit consent by checking an opt-in box during account registration. These messages may include time-sensitive stock price alerts, notifications, and account-related messages.
Message frequency varies based on user-configured alert settings. Message and data rates may apply. Consent to receive SMS messages is not a condition of purchase and may be withdrawn at any time.
SimpliStockAlerts does not sell, rent, lease, or share your mobile phone number or SMS opt-in consent data with third parties for their marketing or promotional purposes. Your phone number is used exclusively to deliver the alerts and notifications you have requested.
You may opt out of SMS messages at any time by replying STOP to any message. After sending STOP, you will receive a one-time confirmation SMS that you have been unsubscribed. No further messages will be sent. You can re-enable SMS alerts via your dashboard. For assistance, reply HELP or contact support at support@simplistockalerts.com. 9. Acceptable Use & Compliance
Users must comply with all applicable laws and regulations. You agree not to misuse the service, redistribute alerts or data, scrape the platform, or use it for unauthorized commercial purposes. The service is for personal, informational use only and should not be used for professional trading or investment advisory purposes unless you are properly licensed.

9a. Fair Use & Inactivity
SimpliStockAlerts reserves the right to limit the frequency of alerts, notifications, or service usage to prevent abuse or overload of our systems. Inactive accounts (users who have not logged in or no interaction for extended periods, typically 90 days) may be suspended or deactivated at our discretion.
​
9b. Free Account Abuse Prevention
SimpliStockAlerts reserves the right to delete, suspend, or merge multiple free accounts created by the same individual or entity if we determine they are being used to exploit or circumvent the limitations of the free service tier. This includes, but is not limited to, creating multiple accounts to exceed free tier alert limits, using temporary email addresses to create duplicate accounts, or other patterns of behavior that suggest abuse of the free service. SimpliStockAlerts will make reasonable efforts to identify legitimate use but maintains sole discretion in determining what constitutes abuse.

10. Limitation of Liability
SimpliStockAlerts is not liable for any losses, damages, missed alerts, or missed financial opportunities resulting from delays, inaccuracies, outages, or reliance on the data we provide. You use the platform at your own risk.

10a. Informational Use Only & No Investment Advice
SimpliStockAlerts provides information for personal, educational, or informational purposes only. SimpliStockAlerts is not a registered broker, investment adviser, or fiduciary, and does not provide investment advice or recommendations. You should not rely solely on alerts or data provided by SimpliStockAlerts to make financial decisions.

The inclusion of any stock, security, or financial instrument in SimpliStockAlerts does not constitute an endorsement, recommendation, or suggestion to buy, sell, or hold that security. SimpliStockAlerts makes no representations about the suitability of any investment and does not guarantee future performance based on historical data.

Past performance does not guarantee future results. All investments carry risk, including the potential loss of principal. Before making any investment decision, you should consult with a licensed financial adviser, tax professional, or other qualified professional who can assess your individual circumstances, risk tolerance, and financial goals.

SimpliStockAlerts makes no representation or warranty regarding the accuracy, completeness, timeliness, or profitability of any alerts or information provided through the service.

10b. User Responsibility for Trading Decisions
You acknowledge that all investment and trading decisions are made solely by you. SimpliStockAlerts does not execute trades, manage accounts, or provide individualized recommendations.

You are solely responsible for evaluating the risks associated with any investment and for consulting with qualified financial professionals if needed before making investment decisions.
​
You agree that you will not rely solely on SimpliStockAlerts alerts or information when making investment decisions and that the service is only one of many informational tools available to investors.
​
Your use of the service does not create any fiduciary, advisory, or professional relationship between you and SimpliStockAlerts.

11. Indemnification
You agree to indemnify and hold harmless SimpliStockAlerts and its affiliates from any claims, losses, or damages arising from your misuse of the service, violation of this agreement, or illegal use of alerts or data.

12. Termination
We may suspend or terminate your account for violation of these terms or unlawful activity. Upon termination or suspension of your account, your right to use and have access to SimpliStockAlerts services cease immediately. SimpliStockAlerts may delete or anonymize your account data at its discretion. You are responsible for exporting any personal data you wish to retain before termination. Subscription fees are non-refundable unless required by law.

12a. Data Retention After Termination
Upon account closure or termination, SimpliStockAlerts will retain your personal data for a period of up to 90 days to allow for account recovery or to comply with legal or regulatory requirements. After this retention period, personal data will be permanently deleted or anonymized. However, certain data may be retained longer if required by law, for fraud prevention, dispute resolution, or to enforce these Terms of Service. Aggregated, anonymized data may be retained indefinitely for analytics and service improvement purposes.

13. Support & Maintenance
SimpliStockAlerts may provide updates, maintenance, and improvements at our discretion. We do not guarantee continuous service or 24/7 availability. Temporary outages or interruptions may occur and are not considered a breach of these terms.

14. Privacy
Your use of SimpliStockAlerts is subject to our Privacy Policy. By using our services, you consent to our collection and use of your data as described therein.

14a. Data Access, Portability & Deletion Rights
In compliance with applicable privacy laws (including CCPA and GDPR where applicable), you have the right to request access to the personal data we hold about you, request a copy of your data in a portable format, or request deletion of your personal data. To submit such requests, contact us at support@simplistockalerts.com with "Data Request" in the subject line. We will respond to verified requests within 30 days. Note that certain data may be retained as permitted or required by law, even after a deletion request.

15. Changes to Terms & Service
We may update these Terms of Service, features, or data sources at any time. Continued use of the service constitutes acceptance of such changes.

15a. Service Modifications & Discontinuation
SimpliStockAlerts may modify, update, or discontinue any feature, data feed, or service at any time without notice. SimpliStockAlerts is not liable for any consequences arising from such modifications or discontinuation. Platform compatibility may change over time; continued use may require updated devices or software versions.

15b. Beta Features & Experimental Services
From time to time, SimpliStockAlerts may offer features, functionality, tools, or services that are designated as beta, alpha, preview, experimental, early access, limited release, or similar (collectively, “Beta Features”). Beta Features may be identified as such within the SimpliStockAlerts platform, user interface, documentation, or related communications.

Beta Features are provided solely for testing, evaluation, and feedback purposes and are not part of the generally available SimpliStockAlerts services.
​
No Warranties
Beta Features are provided “AS IS” and “AS AVAILABLE,” with all faults, and without warranties of any kind. To the fullest extent permitted by law, SimpliStockAlerts disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, or security.

Acknowledgement of Risks
You acknowledge and agree that Beta Features:

May be incomplete, unstable, or contain errors, bugs, or inaccuracies

May not function as intended or as described in any documentation

May undergo significant changes to functionality, performance, interfaces, or data formats at any time without notice

May be suspended, limited, or discontinued at any time and may never become generally available

May have limited or no documentation, maintenance, support, security safeguards, or compliance controls

May not be compatible with other services, integrations, systems, or future versions of the SimpliStockAlerts platform

Use of Beta Features is entirely voluntary and at your own risk. You should not rely on Beta Features for critical functionality, trading decisions, operational use, or data preservation.
​
Feedback
If you provide suggestions, ideas, comments, or other feedback regarding Beta Features (“Feedback”), you grant SimpliStockAlerts a perpetual, irrevocable, worldwide, royalty-free, and sublicensable right to use, modify, incorporate, and exploit such Feedback for any purpose without restriction or compensation to you.

No Liability for Beta Features
To the maximum extent permitted by law, SimpliStockAlerts will have no liability whatsoever for any losses, damages, claims, or consequences arising out of or related to Beta Features or your use of or reliance upon them. This includes, without limitation:

Financial losses or trading decisions based on Beta Feature outputs

Service interruptions, delays, or degraded performance

Security or privacy incidents associated with Beta Features

If, notwithstanding the foregoing, SimpliStockAlerts is found to have any liability relating to Beta Features, such liability will be subject to and limited by the Limitation of Liability section of these Terms of Service.

Modification, Suspension, or Discontinuation
SimpliStockAlerts may enable, disable, modify, suspend, or discontinue any Beta Feature at any time, with or without notice, and without liability. Access to Beta Features may be restricted to specific users, accounts, or regions at SimpliStockAlerts’ sole discretion.

If a Beta Feature becomes generally available, continued access may require a subscription upgrade or additional fees.
​
Data and Retention
Data generated, processed, or stored through Beta Features may not be preserved if the Beta Feature is modified or discontinued. SimpliStockAlerts makes no commitment to retain, migrate, or restore Beta Feature data.
​
Confidentiality of Beta Features
Beta Features and related functionality may be confidential. You agree not to publicly disclose, publish, benchmark, or otherwise share information regarding Beta Feature performance, functionality, or availability without prior written consent from SimpliStockAlerts.
​
Additional Terms
Access to certain Beta Features may be subject to additional terms, restrictions, or usage limitations communicated at the time of access. Any such additional terms are incorporated into these Terms of Service by reference.

15c. Free Tier & Discontinuation
SimpliStockAlerts may offer a free tier of its services from time to time. We reserve the right to modify, suspend, or discontinue the free tier at any time, for any reason, with or without notice. You acknowledge that access to the free tier is not guaranteed and that SimpliStockAlerts is not liable for any consequences resulting from the discontinuation or modification of the free tier.

15d. Waitlist & Feature Requests
If SimpliStockAlerts offers a waitlist for new features or service tiers, joining the waitlist does not guarantee access to those features or services. Feature requests submitted by users do not obligate SimpliStockAlerts to implement, develop, or release any particular feature. SimpliStockAlerts maintains sole discretion over product development and feature prioritization.
If SimpliStockAlerts develops a feature based on customer demand, no customer has IP rights or any other right to features developed.​​

16. International Users
SimpliStockAlerts is based in the United States and operates under U.S. law. If you access SimpliStockAlerts from outside the United States, you are responsible for compliance with local laws and regulations, including securities laws, data protection regulations, and financial reporting requirements in your jurisdiction.

Stock data, alerts, and services may not be available for all international markets. SimpliStockAlerts makes no representation that the service is appropriate or available for use in locations outside the United States. Access to certain features or data may be restricted based on your location or applicable export control laws.

All subscription fees are charged in U.S. Dollars (USD). International users are responsible for any currency conversion fees, international transaction fees, or taxes imposed by their financial institutions or governments.

17. Force Majeure
SimpliStockAlerts is not liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, government actions or regulations, power outages, internet service provider failures, denial of service attacks, market closures or suspensions, or failures of third-party service providers (including data providers, messaging platforms, or hosting services). In the event of force majeure, SimpliStockAlerts' obligations under these Terms will be suspended for the duration of the event, and we will make reasonable efforts to resume normal operations as soon as practicable.

18. Assignment & Transfer of Rights
SimpliStockAlerts may assign, transfer, or delegate any or all of its rights and obligations under these Terms of Service to any third party, including in connection with a merger, acquisition, sale of assets, or other corporate transaction. You will be notified of any such assignment via email or through a notice on the SimpliStockAlerts website. Your continued use of the service after such assignment constitutes acceptance of the assignment. You may not assign or transfer your rights or obligations under these Terms without prior written consent from SimpliStockAlerts.

19. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms of Service or your use of SimpliStockAlerts, including the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted by a single arbitrator and shall take place in the state where SimpliStockAlerts is headquartered, unless otherwise agreed by both parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Small Claims Exception: Either party may bring an individual action in small claims court if the claim qualifies and remains in small claims court.

Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to SimpliStockAlerts at support@simplistockalerts.com within 30 days of first accepting these Terms of Service. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement.

20. Governing Law
These terms are governed by the laws of the United States and the state in which SimpliStockAlerts operates, without regard to conflict of law principles. You agree to submit to the personal jurisdiction of the courts located in that state for any disputes not subject to arbitration.

21. Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

22. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published on the SimpliStockAlerts website, constitute the entire agreement between you and SimpliStockAlerts concerning your use of the service. These Terms supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, between you and SimpliStockAlerts regarding the subject matter herein.
